These Terms of Service ("Terms") govern your access to and use of the hiring intelligence and nationalization compliance platform (the "Service") provided by Clavo AI Technologies Pvt Ltd ("Clavo AI," "we," "us," or "our").

By accessing or using the Service, or by signing up for an account, you ("you," "Customer," or "your") agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Clavo AI provides a software-as-a-service platform that helps employers in the Gulf Cooperation Council (GCC) region manage hiring, screen and score CVs, conduct AI-assisted video interviews, manage candidate pipelines, and monitor nationalization compliance (including Emiratisation, Saudization, and related frameworks).

We may add, change, or remove features of the Service from time to time.

2. Eligibility and Accounts

  • You must be at least 18 years old and authorized to enter into these Terms on behalf of your organization.

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

  • You agree to provide accurate, current, and complete information and to keep it updated.

  • You must notify us promptly of any unauthorized use of your account.

3. Subscriptions, Fees, and Payment

  • Access to the Service is provided on a subscription basis at the plan and price agreed at sign-up or in a separate order.

  • Fees are billed in advance on a recurring basis (monthly or as otherwise agreed) and are non-refundable except where required by law or expressly stated.

  • You authorize us (and our payment processors) to charge your chosen payment method for all applicable fees.

  • We may change our fees on renewal by giving reasonable prior notice. Continued use after a fee change constitutes acceptance.

  • You are responsible for any taxes associated with your use of the Service, other than taxes based on our net income.

4. Customer Data and Candidate Data

4.1 Your data

"Customer Data" means all data you or your users submit to the Service, including candidate information, CVs, workforce data, and interview content. As between you and Clavo AI, you own your Customer Data.

4.2 Candidate data and your responsibilities

Where you use the Service to process personal data relating to job candidates, you act as the data controller and Clavo AI acts as a data processor on your behalf. You are responsible for:

  • Having a lawful basis to collect and process candidate data;

  • Providing candidates with any required notices and obtaining any required consents (including for AI-assisted video interviews and their recording/transcription);

  • Ensuring your use of the Service and its outputs complies with applicable employment, anti-discrimination, and data protection laws.

4.3 Our use of your data

We process Customer Data only to provide and improve the Service, as described in our Privacy Policy, and in accordance with your instructions. We do not sell Customer Data.

4.4 License to us

You grant us a limited, non-exclusive license to host, process, and display Customer Data solely as necessary to provide the Service to you.

5. AI Features and Human Oversight

  • The Service uses artificial intelligence to transcribe and summarize interview and CV content and to generate match scores and assessments.

  • The AI does not make final hiring decisions and does not automatically reject candidates. Match scores and assessments are decision-support tools only.

  • You are solely responsible for all hiring and employment decisions made using the Service. You should apply independent human judgment and comply with all applicable laws when making such decisions.

  • AI-generated outputs may contain errors or inaccuracies. We do not warrant that any assessment, score, or transcription is complete or accurate.

6. Compliance Information Disclaimer

  • The Service provides nationalization compliance information, penalty exposure estimates, and related calculations for informational purposes only.

  • Such information is not legal, tax, or regulatory advice and does not replace guidance from qualified professionals or official government sources.

  • Regulations (including Emiratisation, Saudization/Nitaqat, Nafis, and associated penalties and thresholds) change over time. While we work to keep our information current, we do not warrant that it is accurate, complete, or up to date at all times.

  • You are responsible for verifying compliance requirements with the relevant authorities and for your organization's actual compliance.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, discriminatory, or fraudulent purpose;

  • Upload data you do not have the right to use, or that infringes any third party's rights;

  • Attempt to gain unauthorized access to the Service or its systems;

  • Reverse engineer, copy, or create derivative works of the Service, except as permitted by law;

  • Resell or provide the Service to third parties without our written consent;

  • Interfere with or disrupt the integrity or performance of the Service;

  • Use the Service to build a competing product.

8. Intellectual Property

  • The Service, including all software, design, and content (excluding Customer Data), is owned by Clavo AI and protected by intellectual property laws.

  • We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms.

  • Any feedback you provide about the Service may be used by us without obligation to you.

9. Third-Party Services

The Service may integrate with or rely on third-party services (such as cloud hosting, AI processing, and payment processing). We are not responsible for third-party services, and your use of them may be subject to their own terms.

10. Confidentiality

Each party agrees to protect the other's confidential information and to use it only as necessary to perform under these Terms. This does not apply to information that is public, independently developed, or lawfully obtained from another source.

11. Service Availability

We aim to provide a reliable Service but do not guarantee that it will be uninterrupted or error-free. We may suspend the Service for maintenance, updates, or to address security or legal issues, and will try to give reasonable notice where practical.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE, ITS AI OUTPUTS, OR ITS COMPLIANCE INFORMATION WILL BE ACCURATE, COMPLETE, OR ERROR-FREE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Clavo AI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities.

  • Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold Clavo AI harmless from any claims, damages, or expenses arising from: (a) your Customer Data; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any law or third-party rights, including in connection with candidate data and hiring decisions.

15. Term and Termination

  • These Terms remain in effect while you use the Service.

  • You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

  • We may suspend or terminate your access if you breach these Terms or fail to pay fees.

  • Upon termination, your right to use the Service ends. We will make Customer Data available for export for a reasonable period, after which we may delete it in accordance with our Privacy Policy.

16. Changes to These Terms

We may update these Terms from time to time. We will post the updated version and update the "Last updated" date. Material changes will be communicated where appropriate. Continued use of the Service after changes take effect constitutes acceptance.

17. Governing Law and Disputes

These Terms are governed by the laws of [India / your chosen jurisdiction], without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts of [jurisdiction], unless otherwise required by applicable law.

(Note: if you sign UAE or Saudi customers, they may request a different governing law or arbitration clause — this is negotiable per contract.)
